Board of Directors
Independent directors have an important role in ensuring our Board acts in the best interests of both Last Mile and our shareholders, independently of management.
The Last Mile Board of Directors is responsible for the management, formulation and implementation of group strategy.
Executive team
The Board is supported by five committees composed of independent and executive team members: the Audit Committee; Risk, Assurance and Sustainability Committee; Renumeration and Nomination Committee; Investment Committee and Health and Safety Committee.
In addition, the Executive Committee is responsible for the implementation of the group strategy, as set out by the Board and sub-committees.
Structure and organisation
Last Mile is organised into two operating groups: Design & Build (D&B) and Own & Manage (O&M). While specialising in their own geographies or markets, the subsidiary businesses work closely together with integrated systems and processes.
Our service groups provide the framework, infrastructure and support to the operating groups, including Finance, People and Culture, Legal and Governance, Technology and Data. This allows us to streamline our key support services and take a holistic approach to operational risk.

Business conduct and ethics
Last Mile’s Code of Ethics explains how we conduct our business to ensure that we maintain our integrity, that our operations are conducted safely and that our customers and stakeholders can trust us. The Code of Ethics is reflected in, and supported, by our Policies and Procedures.
Transparency and disclosure
We believe that shareholders, regulators, ratings agencies and other relevant investment community professionals should be kept informed of all major business events and risks that influence Last Mile in a factual, timely and widely available manner.
Constitution and terms of reference
The Articles of Association and Shareholders Agreement explain Board rules concerning size, meetings, election and directors’ powers and duties along with the Board’s responsibilities and how it works with Management. Five standing Committees support the Board’s oversight role. Each Committee has Terms of Reference that set out who is on the Committee, what it’s responsible for, and how it carries out its work.
